We routinely work in conjunction with our Corporate and
Commercial Department, providing advice on the employment
aspects of transactions, including business sales and
reorganisations, outsourcing / insourcing / second generation
contracting and purchases out of insolvency.
Our experience includes reviewing extensive portfolios of
employment related information in order to advise clients on the
potential legal and financial consequences of such transactions,
particularly in insolvency situations when employment related
liabilities are crucial.
Wealso advise on the operation of the TUPE Regulations 2006,
including guiding clients through the often complicated
information and consultation obligationsand the requirement for
the provision of employee liability information.
Recent examples of work in this area include:
- Providing a comprehensive calculation of employment
liabilities for 2,500 employees in a target company of our
clientand dealing with associated TUPE and redundancy issues
- Advising on the employment risks and the best way to
manage the insourcing of cleaning and security services for
an airport operator
- Assisting a client with its pitch for a multi-million
pound call centre contract
- Advising on the sale of a specialist medical screening
company to a UK listed purchaser
