Personal And Corporate Guarantees And Indemnities

In certain cases, a borrower may have limited assets with
which to provide security. In such cases, it may be more
appropriate to seek a personal guarantee from a
director/shareholder and/or perhaps a cross-guarantee from other
companies within the same group. It is important to ensure that
the documentation is drafted properly and, from a lender's
perspective, that the relevant guarantors are advised
appropriately so that there can be no doubt as to the validity
and enforceability of the guarantees taken.
Guarantees can also be important in your day-to-day business
trading. If you, as a supplier, are continuing to provide goods
to a customer and the credit terms are being extended beyond
what is comfortable, you may want to consider taking a
director's personal guarantee or a cross guarantee to support
the customer's credit and to provide greater security.
